1. What is Hush Hush Closet

  • 1.1 Services. Hush Hush Closet (“HHC,” “we,” “our,” or “us”) operates an online peer-to-peer marketplace where third-party users may act as Lenders (to list and rent out their items) or Renters (to book and use such items). The marketplace is available through our mobile application (the “App”) and website at https://hushhushcloset.com (the “Website”). Together, the App, Website, and related features constitute the “Services.”

  • 1.2 Agreement. These Terms & Conditions (the “Terms”), together with our Privacy Policy (available on the Website/App) and any additional policies referenced herein, form the entire legal agreement between you and HHC regarding use of the Services. These Terms apply whether you are acting as a Lender, a Renter, a guest, or any other user.

  • 1.3 Acceptance. By accessing or using the Services, you confirm that you have read, understood, and agreed to be bound by these Terms in their entirety. If you do not agree, you must immediately stop using the App, Website, and Services.

  • 1.4 Recommendation. We strongly encourage you to review these Terms carefully before using any part of the Services, as they affect your legal rights and obligations.

  • 1.5 Marketplace Role Disclaimer

    • HHC is a marketplace only. We are not an owner, lessor, agent, insurer, broker, or guarantor of any item listed on the Services. All rental agreements are made directly between Lenders and Renters. HHC does not inspect, store, clean, deliver, or maintain items, and does not set or control prices. We are not responsible for the conduct of users or the condition of items, except as expressly stated in these Terms.

  • 1.6 Privacy Policy & Updates

    • We may update these Terms and/or our Privacy Policy from time to time. When we do:

      • The updated versions will be posted on the Website and App with a clear “Last Updated” date.

      • For material changes (including changes affecting user rights, fees, dispute resolution, or our use of personal data), we will also provide conspicuous notice (such as email or in-app notification) before or at the time the changes take effect.

    • Your continued use of the Services after the effective date constitutes acceptance of the updated Terms and/or Privacy Policy.

    • If you do not agree, you must stop using the Services and deactivate your account. It is your responsibility to review the Terms and Privacy Policy regularly to stay informed of any updates.

    • Governing Language. These Terms are written in English. Translations may be provided for convenience, but the English version controls in case of conflict.

  • 1.7 Eligibility

    • The Services are intended for individuals who are at least 18 years of age. By accessing or using the Services, you confirm that:

      • You are 18 years or older; or

      • If you are between 13–17 years of age, you are using the Services with the consent and supervision of a parent or legal guardian who is the account holder and responsible for your use.

    • Children under 13 are not permitted to use the Services.

  • 1.8 Marketplace Role

    • HushHushCloset (“HHC”) provides the Services solely as a neutral marketplace platform for Lenders and Renters to connect and enter into rental agreements directly with one another.

    • HHC is not a rental company, agent, broker, insurer, or guarantor of any item or transaction.

    • Rental contracts are formed exclusively between Lender and Renter upon confirmation of a booking.

    • HHC does not inspect, verify, or guarantee the quality, condition, legality, authenticity, or suitability of any items, nor do we set or negotiate prices.

    • Users are solely responsible for assessing the trustworthiness of other users. HHC does not conduct background checks, criminal record checks, or credit checks on users beyond payment verification requirements handled by third-party providers.

    • Insurance Disclaimer. HHC does not provide insurance for items or transactions. Lenders and Renters are responsible for obtaining their own insurance coverage if desired.

  • 1.9 User Verification and Platform Disclaimer

    • HushHushCloset uses Stripe’s secure identity verification process to verify the identity of users (including both Renters and Lenders) before allowing certain activities such as listing items or receiving payouts.
      However, this verification process is conducted solely to enhance platform security and regulatory compliance

    • HushHushCloset does not independently verify or guarantee:

      • the authenticity, quality, or accuracy of any items listed,

      • the truthfulness or reliability of any user’s identity or representations, or

      • the legitimacy or intent of any user on the platform.

    • By using HushHushCloset, you acknowledge and agree that all transactions and communications occur directly between users at their own risk, and that HushHushCloset is not responsible for any losses, damages, or disputes arising from inaccurate listings, false representations, or user misconduct.

  • 1.10 Disputes & Liability Disclaimer

    • No Party to Agreement. HHC is not a party to any rental agreement and does not guarantee the conduct, performance, or obligations of any user.

    • Third-Party Payments. All charges, payouts, and refunds are processed by third-party payment providers (e.g., Stripe). HHC does not hold user funds and is not responsible for errors, chargebacks, or delays caused by payment providers.

    • Optional Assistance. HHC may, at its discretion, suggest a non-binding resolution to disputes. If both parties accept, payments will be processed accordingly. If either party rejects, the Lender and Renter must resolve the matter independently, including by seeking legal remedies. HHC will not participate in legal proceedings.

    • Dispute timeframe: All dispute claims must be submitted within 24 hours of the relevant event, as further outlined in our FAQ and section 4.7 of Terms and Conditions. Claims submitted after this period may not be eligible for review or assistance.

    • Information Sharing. By using the Services, you consent that, in the event of a dispute, HHC may share necessary user information (including name, phone number, and address) with the other party to facilitate resolution.

    • In-Person Exchanges. If you choose to meet in person for item collection or return, you do so at your own risk. HHC is not responsible for accidents, theft, disputes, or injuries arising from in-person interactions.

    • Contact. Disputes may be submitted to dispute@hushhushcloset.com.

    • Survival. All disclaimers, limitations of liability, indemnification obligations, and dispute resolution provisions survive termination of your account or use of the Services.

2.  Your Account 

  • 2.1 Account Registration.

    •  To access certain features of the Services, including listing or renting items, you must register for an account through the App or Website. You agree to:

      • provide accurate, current, and complete information during registration,

      • maintain and promptly update your information as needed, and

      • not impersonate another person, create accounts for others without permission, or use false information.


  • 2.2 Account Security & Responsibility.

    • You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. If you believe your account has been compromised, you must notify us immediately at help@hushhushcloset.com. HHC is not liable for losses caused by unauthorized use of your account where you failed to safeguard credentials.

  • 2.3 Eligibility.

    • By registering an account, you confirm that:

      • you are at least 18 years of age; or

      • if you are 13–17, you are using the Services with the consent and supervision of a parent or legal guardian who is the account holder.

      • You further confirm that you will only use the Services for lawful purposes and in full compliance with these Terms and applicable law.

  • 2.4 Suspension or Termination 

    • We may suspend, restrict, or terminate your account or access to the Services at any time, with or without notice, if

      • you breach these Terms,

      • you engage in fraudulent, abusive, illegal, or harmful behavior,

      • you misuse the platform (including attempts to avoid fees by transacting off-platform), or

      • We are required to do so by law, regulation, or court order.

    • We may also remove or block access to specific listings or content at our discretion. Termination does not relieve you of your obligations (including outstanding fees, damages, or disputes with other users).

  • 2.5 Account Deactivation by User.

    • You may deactivate your account at any time through your profile settings. However:

      • you cannot deactivate if you have pending or upcoming rentals (as a Lender or Renter),

      • you must first resolve all existing orders by cancellation or completion, and

      • you remain responsible for any cancellation penalties, outstanding fees, or unresolved disputes.

3. Refund Policy

  • 3.1 General Rule.

    • All payments made through the HushHushCloset platform are non-refundable unless expressly stated otherwise in these Terms, a listing’s applicable Cancellation Policy, or agreed to in writing by HHC and/or the lender.

  • 3.2 Exceptions.
    Refunds may only be issued under the following circumstances:

    • The applicable Flexible or Firm Cancellation Policy entitles the Renter to a refund;

    • A verified dispute is resolved in the Renter’s favor (for example, item not delivered, not as described, or unusable on arrival); or

    • HHC determines, at its sole discretion, that a refund is warranted to correct a processing or platform error.

  • 3.3 Fees and Deductions.

    • Any approved refund will be issued minus:

    • Stripe or other payment processing fees,

    • any applicable service or administrative fees, and

    • non-refundable costs already incurred (such as shipping, insurance, or cleaning fees).

  • 3.4 Processing Time.

    • Approved refunds will be processed through the original payment method within a reasonable timeframe as determined by Stripe or the relevant payment processor. HHC is not responsible for delays caused by third-party processors or banks.

    • Once a refund has been approved and processed through Stripe, it may take 5–10 business days (depending on your bank or payment provider) for the funds to appear in your account. HushHushCloset has no control over processing times once Stripe has completed the transaction.

  • 3.5 Chargebacks.

    • If a chargeback is filed through a payment provider, you agree that HHC may offset or withhold future payouts or debit your payment method to recover the disputed amount and associated fees, pending resolution.


4. Lender  terms and condition

  • 4.1 Item Descriptions and Accuracy

    • All items listed on the HushHushCloset Marketplace must be accurately and completely described. By listing an item, you represent and warrant that:

      • The item is authentic, safe, and fit for its intended purpose;

      • The description and photographs are truthful, current, and not misleading;

      • Any damage, wear, alterations, or defects are clearly disclosed in the description and/or visible in photos; and

      • You include accurate measurements, brand, materials, color, and condition details.

    • Items must be clean, odor-free, and safe to wear or use. Counterfeit, replica, or “inspired-by” items are strictly prohibited.

    • Failure to disclose material information may result in:

      • full or partial refund to the Renter,

      • withholding of payouts or other deductions,

      • removal of listings, or

      • suspension or termination of your account.

  • 4.2 Listing an Item

    • Once your account is verified, you may list items for rent. You are solely responsible for ensuring listing accuracy at all times.

    • When you submit a listing:

      • Platform Review. HushHushCloset may review or recategorize listings for accuracy or policy compliance, but such review is administrative only and does not guarantee or endorse your item.

      • Publication. Listings appear in your Lender Dashboard, where you may manage availability, rental requests, and bookings.

      • Payments. All payments are processed through Stripe; HHC does not hold or manage funds directly.

    • By uploading photos or content, you grant HHC a non-exclusive, royalty-free license to use them for legitimate business purposes (e.g., featuring listings on the App, Website, or marketing materials). You retain ownership of your content.

  • 4.3 Account and Identity Verification

    • To list items or receive payouts, you must complete identity verification through Stripe, our secure payment processor. This may include providing personal details, submitting ID, and linking a bank account.

    • Verification is required to comply with financial regulations and prevent fraud. Failure to complete or maintain verification may result in payout holds or account suspension.

    • By completing verification, you agree to Stripe’s Terms of Service. HHC does not store sensitive payment data.

  • 4.4 Lender Rental Policy

    • As a Lender, you are responsible for establishing the terms of rental for each listing. Each Lender Rental Policy must clearly include:

      • a full description of the item, condition, and any flaws;

      • rental price and duration;

      • handling or care instructions;

      • terms for late returns, loss, or damage;

      • delivery or collection method and timing;

      • cancellation and refund terms; and

      • any additional restrictions or conditions.

    • Your policy must be fair, transparent, and consistent with HHC’s general Terms and applicable law.

    • Mandatory Refund Scenarios:

      • Renters are entitled to a refund if any of the following occur:

      • Item Not as Described – materially different from listing (wrong size, damage, stains, etc.).

      • Item Not Delivered/Made Available – not provided as agreed.

      • Lender Cancellation – you cancel after confirmation.

      • Item Unusable – delivered but unwearable (e.g., broken zipper, strong odor).

      • Non-Compliance – you breach your own Lender Rental Policy in a way that prevents the Renter from using the item.

    • Refunds must comply with HHC’s platform policies and consumer-protection laws. HHC may assist with disputes but is not liable for outcomes. If a resolution cannot be reached through HHC support, the parties must resolve the matter directly or through legal channels. Disputes: dispute@hushhushcloset.com

  • 4.5 Cancellations and Dispute Resolution

    • (a) Renter Cancellation.

      • A Renter may cancel a booking at any time, subject to the listing’s Cancellation Policy.

      • Refunds are calculated under the applicable policy (Flexible or Firm).

      • Refunds are issued minus Stripe or other processing fees and any costs already incurred.

    • (b) Dispute Resolution.
      Renters may raise a dispute only under limited circumstances:

      • Item not as described;

      • Item defective or unwearable; or

      • Item not delivered/made available.

    • The Renter must notify the Lender within 24 hours of receipt, providing clear photos/videos, written explanation, and (if relevant) proof of non-delivery.

    • HHC will review submissions and may suggest a non-binding resolution. Refunds, if any, will be issued at HHC’s discretion, minus Stripe/processing fees. If either party rejects the proposed outcome, they must resolve the issue directly or through appropriate authorities. Disputes: dispute@hushhushcloset.com

  • 4.6 Prohibited Conduct and Fraudulent Activity

    • Lenders must not list or send counterfeit, fake, defective, or misrepresented items through the HushHushCloset platform. All items must match the photos, descriptions, and conditions stated in the listing.

    • If HushHushCloset determines (in its sole discretion) that a Lender has:

      • sent counterfeit or substituted items,

      • intentionally listed defective or unsafe items, or

      • engaged in any deceptive or fraudulent conduct,

        • then HushHushCloset may immediately:

          • suspend or terminate the Lender’s account,

          • cancel any upcoming orders, and

          • share relevant information with the affected user and/or law enforcement authorities.

    • HushHushCloset takes theft, counterfeiting, and fraud very seriously. We reserve the right to report any such incidents to law enforcement and pursue all available remedies.

    • While we make reasonable efforts to protect our community, HushHushCloset is not responsible for any financial losses, damages, or harm resulting from user misconduct.

  • 4.7 Dispute Timeframe and Reporting Requirements

    • Both Lenders and Renters must report any dispute, issue, or claim related to a transaction within 24 hours of the relevant event — such as the item’s delivery, return, or the scheduled start or end of the rental period.

    • Disputes reported after this timeframe may not be eligible for review or assistance by HushHushCloset.
      This requirement applies to, but is not limited to:

      • Items not as described or defective upon receipt,

      • Items not delivered or returned as agreed,

      • Damage, loss, or theft discovered upon receipt or return, and

      • Payment or refund discrepancies.

    • All disputes must be submitted through the platform or by emailing dispute@hushhushcloset.com with order details, description of the issue, and clear supporting evidence (such as photos, tracking, or communication records).

    • HushHushCloset may, at its discretion, assist in mediating disputes raised within this period but does not guarantee resolution.

    • Note: All disputes or claims must be reported within 24 hours as detailed in this Section and the FAQ. Disputes submitted after this period may not qualify for review.

  • 4.7 Rental Scheduling and Preparation Time

    • Lenders are solely responsible for managing their rental schedules and ensuring that sufficient time is allowed between bookings.
      Each Lender must account for:

      • the expected return shipping period from the previous Renter,

      • additional buffer days in case of shipping delays or courier issues, and

      • adequate time for inspection, cleaning, and preparation of the item before the next rental begins.

    • HushHushCloset is not responsible for delays, cancellations, or disputes that result from a lender's failure to provide adequate turnaround time between rentals.
      Lenders who repeatedly mismanage scheduling or cause disruptions to renters’ orders may have their accounts temporarily suspended or permanently deactivated.

  • 4.8 Lost or Stolen Shipments

    • HushHushCloset is not responsible for any lost, stolen, delayed, or damaged shipments once an item has been handed over to the shipping carrier. Lenders are strongly encouraged to use trackable and insured shipping services and to keep proof of shipment for all deliveries.

    • If a shipment is lost or stolen, the Lender must contact the shipping carrier directly to file a claim. HushHushCloset may assist by facilitating communication between the Lender and Renter but is not liable for any replacement, refund, or compensation related to the shipment.

  • 4.9 Late Return Fees and Payment Distribution

    • If a Renter returns an item after the agreed rental period, HushHushCloset will apply a daily late-return fee equal to the original daily rental rate (the total rental price divided by the number of rental days in the booking), multiplied by the number of late days.

    • Late-return payments will be processed through the HushHushCloset platform and are subject to Stripe processing fees and HushHushCloset’s standard commission rate from both the Lender and the Renter.

    • Once processed, the Lender will receive their portion of these fees minus HushHushCloset’s commission and Stripe fees.
      The remainder will be distributed in accordance with platform policies.

    • If repeated or extended late returns occur, HushHushCloset reserves the right to:

      • Temporarily suspend the Renter’s account,

      • Cancel the Lender’s upcoming bookings that may be affected, and/or

      • Adjust or withhold payouts as necessary to resolve disputes.

  • 4.10 Insurance

    • HushHushCloset does not provide insurance coverage for any items listed, rented, or exchanged on the platform. Lenders are solely responsible for protecting their property and may choose to obtain independent insurance for high-value or irreplaceable items.

    • We also recommend using a reputable shipping carrier that offers tracking and insurance options, especially for designer or luxury pieces.

  • 4.11 Lender Changes and Cancellations

    • Once a rental is confirmed, the agreed fee, period, and terms may not be changed unless:

      • You have a valid reason (e.g., listing error, item damage discovered before rental); and

      • The Renter agrees in writing to the amended terms before the rental starts.

    • Changes made without written consent may invalidate the agreement and expose you to refund claims.
      If you update any listing details that affect confirmed orders (size corrections, new damage disclosures, etc.), you must promptly notify affected Renters.

  • 4.12 Flexible and Firm Cancellation Policies

    • Lenders may choose one cancellation policy per listing:

      • Flexible Cancellation Policy

        • Renter cancels ≥ 7 days before start → Full refund minus processing fees.

        • Renter cancels < 7 days before start → 50% refund minus processing fees.

        • No refund after rental starts.

      • Firm Cancellation Policy

        • Renter cancels ≥ 30 days before start → Full refund minus fees.

        • Renter cancels 7–29 days before start → 50% refund minus fees.

        • Renter cancels < 7 days before start → No refund; Lender receives payout minus HHC and Stripe fees.

        • Processing fees are non-refundable in all cases.

  • 4.13 Prohibited and Restricted Items

    • Lenders may not list:

      • counterfeit, stolen, or infringing items;

      • items recalled for safety reasons;

      • hazardous, flammable, or unsanitary items; or

      • items violating any law or third-party rights.
        HHC may remove any non-compliant listing at its discretion.

  • 4.14 Indemnity

    • You agree to indemnify, defend, and hold harmless HushHushCloset, its affiliates, and their officers, directors, and employees from any claims, losses, or damages (including attorneys’ fees) arising from your listings, rentals, or breach of these Terms.

5. Renter Terms and Condition:

  • 5.1 Rental Rights and Use

    • When you rent an item through the HushHushCloset Marketplace, the Lender grants you a limited, personal, non-transferable, and revocable license to use that item solely for the agreed rental period and purpose.

    • You may not:

      • transfer, lend, sublet, or share the item with any third party;

      • use the item for commercial purposes, resale, or any purpose other than that agreed with the Lender; or

      • make any alterations, repairs, or modifications without the Lender’s written consent.

    • Any misuse, unlawful use, or violation of these Terms may result in immediate account suspension, removal from the platform, financial liability, and potential legal action.

  • 5.2 Renter’s Responsibilities: 

    • As a Renter, you agree to:

      • Use the item with care and only for its intended purpose during the rental period.

      • Return the item on time and in the same condition received, allowing for normal wear.

      • Follow all Lender instructions (cleaning, handling, return, packaging).

      • Not permit any third party to use or handle the item.

      • Notify the Lender immediately if the item is damaged, lost, or delayed.

      • Pay any applicable fees for late return, damage, repair, or replacement as determined under these Terms and the Lender’s Rental Policy.

      • Comply with all laws and these Terms while using the Services.

      • Failure to meet these responsibilities may result in additional fees, account suspension, or legal action.

  • 5.3 Care and Alteration Restrictions

    • Renters must handle all rented items with care and must not wash, alter, resize, tailor, dye, or modify any item in any way.
      All cleaning, maintenance, and restoration of items are the sole responsibility of the Lender unless otherwise stated in the item’s listing.

    • Unauthorized washing, dry cleaning, alterations, or fabric treatments may cause damage and will be considered a breach of these Terms.In such cases, HushHushCloset and/or the Lender may:

      • charge the Renter for repair or replacement costs,

      • deduct applicable fees from future payouts or deposits (if available), and/or

      • suspend or permanently deactivate the Renter’s account.

    • Normal, reasonable wear from proper use is expected and does not constitute damage.

  • 5.4 In-Person Exchanges:

    • If both parties agree to meet in person to exchange an item:

      • Meetings must occur in public, well-lit, and safe locations.

      • Private homes or secluded areas are strongly discouraged.

      • Both parties must upload clear, timestamped photos of the item immediately before handoff and within 24 hours of receiving it.

    • HushHushCloset is not responsible or liable for any incident, accident, theft, or dispute that occurs during in-person exchanges. You participate in such exchanges at your own risk.

  • 5.5 Returning Items

    • You must return the item on or before the agreed date, via the agreed method (courier, postal service, or in person).

    • Late Returns:

      • May incur additional daily rental charges as set by the Lender.

      • May affect your rental history and account status.

    • Failure to Return:

      • If an item is not returned, it may be treated as theft or breach of contract. The Lender may pursue:

        • recovery of the item or its full replacement value,

        • late or penalty fees, and

        • legal or recovery action.

        • HHC may assist with communication but is not responsible for enforcing returns or collecting damages.

  • 5.6 Prohibited Conduct and Fraudulent Returns

    • Renters must return the same authentic item received, in its original condition (allowing for reasonable wear).
      It is strictly prohibited to:

      • return counterfeit, altered, or substituted items,

      • intentionally damage items, or

      • engage in any deceptive or fraudulent behavior during the rental process.

    • If such behavior occurs, HushHushCloset may immediately:

      • suspend or permanently close the Renter’s account,

      • cancel any upcoming rentals, and

      • disclose relevant account and order information to the affected Lender and/or law enforcement authorities.

    • Fraud, theft, and counterfeiting are criminal offenses. HushHushCloset cooperates with investigations and may report such activity to authorities.

    • HushHushCloset will make reasonable efforts to assist affected users but is not responsible for losses or damages resulting from user misconduct.

  • 5.7 Damage or Loss

    • You are solely responsible for any loss, theft, or damage to a rental item while it is in your possession.

      • The Lender may charge you for:

        • professional cleaning or repair;

        • replacement if the item is beyond repair; and/or

        • additional administrative or recovery costs.

    • You must notify the Lender immediately if any damage occurs. The Lender must notify you within 24 hours of receiving a returned item if any issue is found (or within 24 hours of delivery confirmation).

    • HHC is not liable for lost, stolen, or damaged items.

  • 5.8 Lost or Stolen Returns

    • Once a return shipment has been dropped off with a carrier, HushHushCloset is not responsible for loss, theft, or damage in transit. Renters are strongly encouraged to use insured and trackable shipping methods and to keep proof of postage and tracking information.

  • 5.9 Late Returns and Rental Extensions

    • If you cannot return an item on time, you must notify the Lender immediately. Unless the Lender agrees otherwise, you must:

      • Extend the rental period and

      • Pay additional rental fees immediately, at a rate agreed with the Lender (which may be handled directly between parties)

    • Failure to return the item as agreed may result in:

      • additional late fees,

      • claim for the item’s full replacement value,

      • account suspension or termination, and/or

      • legal or recovery action.

    • Timely communication and cooperation are essential to avoid penalties.

  • 5.10 Insurance Disclaimer

    • HushHushCloset does not insure any items rented through the platform. Renters are responsible for the items during the rental period and are encouraged to use insured shipping when returning items to protect against loss or damage in transit.

  • 5.11 Late Returns and Rental Extensions 

    • If the Renter fails to return a rented item by the agreed return date, you must immediately notify the Lender and inform them of the delay. Unless the Lender agrees otherwise in writing, you will be required to:

      • Extend the rental period and

      • Pay for each additional day at a rate equal to the daily rental fee (the total rental amount divided by the number of rental days in the original booking), multiplied by the number of late days until the item is received by the Lender.

        • These late fees will be processed through the HushHushCloset platform and are subject to Stripe processing fees and HushHushCloset’s standard commission rate from both the Lender and the Renter.
          The Lender will receive their portion of these payments minus Stripe fees and HushHushCloset’s commission once the transaction is finalized.

      • If the Lender does not agree to extend the rental, the Renter must return the item immediately. Failure to do so may result in:

        • Additional daily late fees,

        • A claim for the full replacement value of the item, and/or

        • Suspension or termination of the Renter’s account.

    • Timely communication and cooperation are essential to avoid penalties and maintain good standing on the platform.

  • 5.12 Theft or Non-Return

    • Theft, attempted theft, or intentional non-return of rented items is a serious violation and may result in permanent account termination and legal prosecution.

    • In the event of theft or attempted theft:

      • HushHushCloset and/or the Lender may report the incident to law enforcement and pursue civil and/or criminal action.

    • You may be held personally liable for:

      • the item’s full replacement value,

      • legal and recovery costs, and

      • administrative or processing fees.

    • HHC may disclose your account information (name, phone number, and address) to the Lender for legal or recovery purposes.

    • HHC assumes no responsibility for stolen or unreturned items. Lenders are encouraged to maintain proof of delivery and consider insurance coverage for high-value items.

  • 5.13 No Chargebacks or External Refund Requests

    • By completing a transaction through the HushHushCloset platform, you agree that all payments, refunds, and disputes must be handled solely within the platform and in accordance with HushHushCloset’s Terms, Refund Policy, and Cancellation Policies.

    • You expressly waive any right to initiate or pursue chargebacks, payment reversals, or refund requests through your bank, credit card issuer, PayPal, or any third-party payment processor for transactions completed on the platform.

    • If a chargeback or external dispute is filed, HushHushCloset reserves the right to:

      • suspend or terminate your account;

      • recover the disputed amount (plus related fees) by debiting your linked payment method or withholding future payouts; and

      • share relevant documentation with Stripe or other payment processors to dispute the claim on behalf of the Lender.

6. Fees and Payments

  • 6.1 Rental Fees and Payments

    • The rental fee for each item is displayed on its listing page and determined solely by the Lender. The total payable amount, including applicable taxes, delivery, cleaning, or service charges, will be shown to the Renter at checkout before confirming the booking.

    • Once the Renter accepts the Lender’s offer, that amount constitutes a final, binding agreement between the parties. All payments must be made in advance of the rental period through Stripe, HushHushCloset’s third-party payment processor.

    • By completing a payment, you agree to Stripe’s Terms of Service and authorize HushHushCloset to process payments and refunds through Stripe on your behalf. HushHushCloset:

      • does not collect, hold, or store your credit card or banking information;

      • is not an escrow agent or financial intermediary; and

      • is not liable for payment processing errors, delays, chargebacks, or disputes handled by Stripe.

    • All transactions are final once confirmed. In the event of refund eligibility (per Section 3 or applicable cancellation policies), refunds will be processed back to the original payment method, minus any Stripe, processing, or service fees that cannot be recovered.

  • 6.2 Service Fees and Deductions

    • HushHushCloset may charge service or platform fees to Renters and/or Lenders for the use of its marketplace, payment processing, and administrative functions. These fees are non-refundable, except where required by law.

    • Fees may include:

      • HHC platform commission (deducted from Lender payouts);

      • payment processing or Stripe transaction fees; and

      • other service-related charges disclosed at the time of booking.

    • HushHushCloset reserves the right to modify its fee structure at any time. Any changes will be posted on the platform and apply prospectively to new transactions.

  • 6.3 Stripe Verification Fee

    • To maintain a safe and verified community, HushHushCloset requires all users (both Renters and Lenders) to complete identity verification through Stripe before participating in rentals or listings.

      A one-time $5 verification fee will be charged automatically on a user’s first completed transaction (whether as a Renter or Lender).

    • This fee helps cover the cost of secure verification and compliance services provided by Stripe.

    • The fee is non-refundable, even if the account is later deactivated or suspended.

  • 6.4 Taxes

    • Lenders:

      • You are solely responsible for determining, collecting, reporting, and remitting all applicable taxes (including sales, service, VAT, income, or other taxes) related to your rental activity. You acknowledge and agree that:

      • HushHushCloset does not provide tax advice,

      • HushHushCloset does not act as your employer, agent, or tax intermediary, and

      • HushHushCloset does not issue any tax forms, including Form 1099s, or report your earnings to tax authorities.

      • You are considered an independent party conducting your own transactions through the platform and must comply with all applicable local, state, and federal tax laws.

    • Renters: 

      • You are responsible for any applicable taxes related to your rental purchase, which may be included in the total price displayed at checkout.

    • HushHushCloset does not withhold or remit any taxes on behalf of either party and assumes no responsibility for any tax liabilities or reporting obligations arising from your use of the platform.

7. Infringement Notices

  • 7.1 Submitting a Notice

    • If you believe content on the Website, App, or Services infringes your rights (including copyright, trademark, privacy, publicity, or other rights), email an infringement notice to support@hushhushcloset.com with subject line “Infringement Notice.” Include all of the following:

      • Your contact info: full name, mailing address, email, and phone.

      • Identify the infringing material: the exact URL(s) in our App/Website and, if helpful, screenshots.

      • Identify the right(s) you claim: e.g., copyright registration number (if any), trademark details, or a brief explanation of the privacy/right-of-publicity violation.

      • Ownership/authority: a statement that you own the rights or are authorized to act for the owner, with supporting documentation if available.

      • Good-faith statement: “I have a good-faith belief that the use of the material in the manner complained of is not authorized by the rights owner, its agent, or the law.”

      • Accuracy statement: “The information in this notice is accurate and, under penalty of perjury, I am the rights owner or authorized to act on the owner’s behalf.”

      • Your signature: physical or electronic (typing your full legal name is acceptable).

    • We may remove or disable access to the content while we review. We may also forward your notice (including your contact info) to the user who posted the content.

  • 7.2 Counter-Notice

    • If your content was removed and you believe it was a mistake or a misidentification, you may send a counter-notice to support@hushhushcloset.com with the subject “Counter-Notice.” Include:

      • Your contact info (full name, address, email, phone).

      • Identification of the removed content and its prior location (URL).

      • A statement under penalty of perjury that you have a good-faith belief the content was removed or disabled as a result of mistake or misidentification.

      • Your consent to the jurisdiction of the courts in Los Angeles County, California (or your residence if outside the U.S.) and that you will accept service of process from the complaining party.

      • Your physical or electronic signature (full legal name).

    • Upon receipt, we may forward your counter-notice to the complainant and, unless we receive notice of a court action, may reinstate the content at our discretion.

  • 7.3 Repeat-Infringer Policy
    We may, in appropriate circumstances and at our discretion, terminate accounts of repeat infringers and/or remove listings or content that repeatedly or egregiously violate third-party rights.

  • 7.4 Reservation of Rights & Misuse

    • We may remove or restore content, or disable access, at our discretion.

    • Submitting fraudulent or abusive notices may result in account suspension and potential legal liability.

    • Nothing in this Section limits our ability to seek additional information, or to refuse or reverse actions where claims are incomplete, unclear, or disputed.

8.Closing Your Account with Us

  • 8.1 Voluntary Closure

    • If you do not agree to these Terms—or to any updates—you must stop using the Services immediately and may deactivate your account through your profile settings.

  • 8.2 Suspension or Termination by HHC

    • We may suspend or terminate your access at any time, with or without notice, if:

      • you breach these Terms or any other policy,

      • we suspect fraudulent, abusive, or harmful behavior, or

      • We are required to do so by law, regulation, or court order.

  • 8.3 Outstanding Obligations

    • Termination of your account, whether by you or by us, does not affect any outstanding obligations or liabilities. You remain responsible for:

      • all unpaid balances, charges, or fees,

      • pending rentals, refunds, or disputes with other users, and

      • compliance with Sections that, by their nature, should survive termination (including payment, indemnity, and dispute resolution).

  • 8.4 Fair and Reasonable Action

    • HushHushCloset may, at its discretion, cancel, delete, or terminate any user account as it deems fair and appropriate. Any pending payments or orders will be handled in a manner equitable to all parties involved.

  • 8.5 Effect of Closure

    • After your account is closed:

      • your access to the Services will end;

      • your public listings and profile may be removed or anonymized; and

      • we may retain information as required by law, for legitimate business purposes, or to resolve disputes.

9. Other Important Terms

  • 9.1 Force Majeure (Events Beyond Our Control)

    • HushHushCloset shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from events or circumstances beyond its reasonable control, including but not limited to natural disasters, war, terrorism, civil unrest, labor disputes, power or internet outages, third-party service failures, or governmental actions.
      Such events may result in temporary or permanent interruption of the App, Website, or Services. While we will make reasonable efforts to minimize disruption, we accept no liability for any resulting loss or damage.

  • 9.2 Entire Agreement

    • These Terms, together with any policies, guidelines, or documents expressly incorporated by reference (including the Privacy Policy and Refund Policy), constitute the entire agreement between you and HushHushCloset regarding your use of the Services.
      They supersede all prior or contemporaneous agreements, representations, or understandings, whether written or oral.

    • If any provision of these Terms is found to be invalid, unlawful, or unenforceable by a court or authority of competent jurisdiction, that provision shall be deemed severed, and the remaining provisions shall remain in full force and effect.

  • 9.3 Governing Law and Jurisdiction

    • These Terms and any dispute or claim arising out of or related to them shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict-of-laws principles.

    • You agree that any legal action or proceeding shall be brought exclusively in the state or federal courts located in Los Angeles County, California, and you consent to the jurisdiction of those courts.

  • 9.3 Notice and Informal Resolution Requirement

    • Before initiating arbitration, you agree to first attempt to resolve any dispute or claim informally by emailing help@hushhushcloset.com with a detailed written description of the issue, your name, and contact information.
      HushHushCloset will make reasonable efforts to resolve the dispute through good-faith discussions within 60 days of receiving your notice.

    • If the matter cannot be resolved within this 60-day period, either party may then initiate arbitration as outlined below.
      Submitting a formal arbitration request without first completing this informal resolution process may result in dismissal of the claim.

  • 9.4 Arbitration and Governing Law

    • a. Agreement to Arbitrate

      • You and HushHushCloset agree that any dispute, claim, or controversy arising out of or relating to these Terms, your use of the App, Website, or Services, or any communication or transaction with HushHushCloset shall be resolved exclusively and finally by binding arbitration, rather than in court.

      • This agreement to arbitrate applies to all claims, regardless of when the events giving rise to the dispute occurred, and survives the termination of your account or these Terms.

    • b. Individual Arbitration Only

      •  All arbitration proceedings shall be conducted on an individual basis only. You agree not to bring or participate in any class, consolidated, collective, or representative action against HushHushCloset.

    • c. Governing Rules

      •  Arbitration shall be administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules and Procedures. The arbitration will be held in Los Angeles County, California, unless both parties agree otherwise in writing.

    • d. Fees and Costs

      • Each party shall be responsible for paying its own arbitration fees, attorney’s fees, and costs unless the arbitrator decides otherwise under applicable law.

    • e. Governing Law

      • These Terms, and any dispute arising from or related to them, shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.

    • f. Small Claims Exception
      Either party may bring an individual action in a small claims court located in Los Angeles County, California, instead of arbitration, if the claim qualifies under that court’s jurisdictional limits.

  • 9.5 No Waiver

    • Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or of our right to enforce it later.

  • 9.6 Assignment

    • You may not assign, transfer, or delegate your rights or obligations under these Terms without prior written consent from HushHushCloset. We may assign or transfer these Terms, in whole or in part, at any time without notice, including in connection with a merger, acquisition, or sale of assets.

  • 9.7 Interpretation

    • Headings are for convenience only and do not affect interpretation. Any words following “including,” “includes,” or similar expressions shall be interpreted as illustrative and not limiting.

      • You are providing the feedback voluntarily, with no expectation of compensation, credit, or confidentiality;

      • HushHushCloset may use, reproduce, modify, adapt, publish, translate, distribute, and display such feedback in any form and for any purpose related to improving or promoting our Services;

      • You waive all intellectual property, moral, and ownership rights to the feedback to the fullest extent permitted by law; and

      • HushHushCloset has no obligation to attribute authorship or to compensate you in any way.

  • 10.3 Final Agreement

    • By accessing or using the App, Website, or Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and all incorporated policies.
